Welcome to LogiFreight. These Terms of Service ("Terms") govern your use of our website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

LogiFreight provides logistics and freight transportation services to businesses and individuals. Our platform facilitates the arrangement of shipping, warehousing, and distribution services.

2. DEFINITIONS

For the purposes of these Terms:

• "Company" refers to LogiFreight, its subsidiaries, affiliates, and parent companies.
• "Customer" or "You" refers to any individual or entity that uses our Services.
• "Carrier" refers to any transportation company or individual that provides actual transportation services arranged through us.
• "Shipment" refers to goods or items transported through our Services.
• "Website" refers to LogiFreight's website, including all subdomains and mobile applications.

3. SERVICE USAGE

3.1 Account Registration

To access certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use strong passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account.

3.3 Age Restriction

The Services are intended for users who are at least 18 years of age. By using the Services, you confirm that you are at least 18 years old.

4. SHIPPING TERMS

4.1 Service Description

LogiFreight arranges for the transportation of Shipments by third-party Carriers. We do not own or operate any vehicles used for transportation. Our responsibility is limited to arranging for the transportation of Shipments by Carriers.

4.2 Shipping Restrictions

You agree not to ship any prohibited items, including but not limited to:

• Illegal substances and contraband
• Hazardous materials not properly declared and packaged according to applicable regulations
• Weapons, ammunition, and explosives
• Perishable goods without appropriate arrangements
• Live animals without proper authorization
• Items prohibited by local, state, federal, or international law

4.3 Packaging Requirements

You are responsible for properly packaging all Shipments to protect them from damage during transportation. Improper packaging may result in damage for which neither LogiFreight nor the Carrier will be liable.

4.4 Delivery Times

All delivery timeframes provided are estimates only and not guarantees. Various factors beyond our control, including weather, traffic, and customs clearance, may affect actual delivery times.

5. FEES AND PAYMENT

5.1 Service Fees

You agree to pay all fees associated with the Services as outlined in our rate quotes. Fees may vary based on distance, weight, dimensions, service level, and other factors.

5.2 Payment Methods

We accept various payment methods as specified on our Website. By providing a payment method, you represent that you are authorized to use the payment method and authorize us to charge your payment method for all fees related to your use of the Services.

5.3 Invoicing

For business customers with approved credit accounts, we will issue invoices for Services rendered. Payment terms for invoices are net 30 days unless otherwise specified in a separate agreement.

5.4 Late Payments

Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less. You will be responsible for all collection costs, including attorneys' fees, incurred by us in connection with collecting overdue amounts.

6. LIABILITY

6.1 Limitation of Liability

LogiFreight's liability for any claim arising from the Services is limited to the amount paid by you for the specific shipment giving rise to the claim. In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages.

6.2 Insurance

We recommend that you purchase insurance for all Shipments. Unless specifically requested and paid for, shipments are not insured by LogiFreight against loss or damage.

6.3 Claims Process

All claims for loss or damage must be submitted in writing within 30 days of the scheduled delivery date. Claims submitted after this period may be denied. Claims must include all relevant documentation, including photos of damaged items.

7. INTELLECTUAL PROPERTY

7.1 Ownership

The Services and all content, features, and functionality, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are owned by LogiFreight, its licensors, or other providers.

7.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes.

7.3 Restrictions

You may not:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or content obtained from the Services
• Use any data mining, robots, or similar data gathering and extraction methods on the Services
• Decompile, reverse engineer, or disassemble any software or other products or processes accessible through the Services
• Remove any copyright, trademark, or other proprietary notices from any content

8. PRIVACY

Your privacy is important to us. Our Privacy Policy, available at Privacy Policy, explains how we collect, use, and protect your personal information. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.

9. TERMINATION

We reserve the right to terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on our Website and indicating the date of the most recent revision.

Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services.

11. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of New York, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in New York, New York, using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.
